Class Corporate Law

Teach students the vicissitudes of business activity in the Portuguese and European legal system. To make known the most significant stages and aspects of the regime in the life of the company, from its incorporation, operation to its extinction. Show students the responsibilities of administrators and managers of commercial companies.

II - LEGAL REGIME OF THE COMPANY: Notion of company and individual entrepreneur; The commercial establishment; Acts of commerce; Liability for commercial debts. III - COMMERCIAL COMPANIES: Incorporation of a commercial company; Types of commercial companies and liability of partners; The rights and obligations of the partners. IV – THE GOVERNANCE OF COMMERCIAL COMPANIES: Management and supervisory bodies; Responsibility of Directors and Managers.  V - THE GENERAL MEETING OF THE COMPANIES: Convocation and operation of the general meeting; The quorum, the vote, and the rules of the majority;     Legal regime of corporate resolutions. VI - MODIFICATION AND EXTINCTION OF COMPANIES: Transformation of companies; Dissolution and liquidation; Insolvency and Special Revitalization Process.  VII - CORPORATE LEGAL TRANSACTIONS: Commercial contracts; Bank guarantees; Bonds
